These Terms of Use (“Terms”) govern your access to and use of the website located at www.willow-vale.com (the “Website”) and any related products, applications, or services made available by Willow Vale (“Willow Vale,” “we,” “us,” or “our”) that link to or reference these Terms (collectively, the “Services”). These Terms are entered into between Willow Vale and the person or entity accessing or using the Services (“you” or “User”).
If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization as well as you individually.
1. About Willow Vale and the Services
Willow Vale develops and provides software and artificial intelligence solutions that help organizations process documents, extract information, generate summaries, and automate document-centric business workflows.
The Website provides general information about Willow Vale, its capabilities, and its business, and does not by itself create a contractual, professional, advisory, or other service relationship between you and Willow Vale.
Where Willow Vale provides its AI or software products to a customer under a separate order form, subscription agreement, or master services agreement (a “Customer Agreement”), the terms of that Customer Agreement govern use of the applicable product, and these Terms apply to your use of the Website generally and to any product or feature that does not otherwise have its own governing agreement.
2. Eligibility and Accounts
The Services are intended for business and professional use. By using the Services, you represent that you are at least 18 years of age and capable of forming a binding contract.
If Willow Vale offers accounts, workspaces, or credentials in connection with the Services, you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account, and you agree to notify Willow Vale promptly of any unauthorized use.
3. Permitted Use
You may access and use the Website and Services for lawful informational and business purposes. You agree not to:
- Violate any applicable law, regulation, or third party's rights.
- Attempt to gain unauthorized access to Willow Vale's systems, networks, accounts, or data, or those of any other user.
- Disrupt, interfere with, or place undue burden on the operation of the Website or Services, including through denial-of-service attacks or automated scraping inconsistent with these Terms.
- Introduce viruses, malware, or other harmful code, or use bots, scrapers, or similar automated means except as expressly permitted.
- Reverse engineer, decompile, or attempt to derive the source code, underlying models, or algorithms of any Willow Vale software or AI system, except to the extent such restriction is prohibited by applicable law.
- Use the Services to build a competing product or service, or to train, develop, or improve any third-party or competing artificial intelligence model.
- Misrepresent your affiliation with Willow Vale or any other person or organization.
- Use the Services in any manner that violates applicable data protection, export control, or sanctions laws.
4. Customer Content and Data Processed by the Services
Where the Services process documents, files, or other content that you or your organization submit (“Customer Content”), you retain all right, title, and interest in your Customer Content.
You grant Willow Vale a limited license to access, process, and use Customer Content solely to provide, maintain, secure, and improve the Services, and as otherwise directed by you or your organization. Willow Vale does not sell Customer Content, and Willow Vale will not use Customer Content to train generally-available third-party or foundation AI models without your prior written consent.
You are solely responsible for ensuring that you have all rights, licenses, and consents necessary to submit Customer Content to the Services, including, where applicable, compliance with confidentiality obligations, professional rules, and data protection laws applicable to that content.
5. Artificial Intelligence Features; No Professional Advice
THE SERVICES USE ARTIFICIAL INTELLIGENCE AND MACHINE LEARNING TECHNOLOGY TO EXTRACT INFORMATION, GENERATE SUMMARIES, AND AUTOMATE WORKFLOWS. AI-GENERATED OUTPUT MAY CONTAIN ERRORS, OMISSIONS, OR INACCURACIES AND SHOULD BE REVIEWED BY A QUALIFIED PERSON BEFORE BEING RELIED UPON FOR ANY BUSINESS, LEGAL, FINANCIAL, MEDICAL, OR OTHER CONSEQUENTIAL DECISION. THE SERVICES DO NOT PROVIDE LEGAL, MEDICAL, FINANCIAL, OR OTHER PROFESSIONAL ADVICE, AND OUTPUT FROM THE SERVICES IS NOT A SUBSTITUTE FOR HUMAN JUDGMENT OR REVIEW BY A QUALIFIED PROFESSIONAL.
6. Intellectual Property
Unless otherwise stated, the Website and Services, including all software, models, text, graphics, branding, logos, and other materials, are owned by Willow Vale or its licensors and are protected by intellectual property laws.
Except for the limited rights expressly granted in these Terms or a Customer Agreement, nothing in these Terms grants you any license or right to use Willow Vale's trademarks, branding, software, models, or other intellectual property.
7. Accuracy of Website Information
Willow Vale makes reasonable efforts to provide accurate and current information on the Website. However, Website content may contain errors, omissions, or information that becomes outdated, and Willow Vale may modify Website content at any time without notice.
8. Third-Party Links and Services
The Website and Services may contain links to, or integrate with, websites, platforms, or services operated by third parties. These links and integrations are provided for convenience and do not necessarily represent an endorsement by Willow Vale.
Willow Vale is not responsible for the availability, security, content, policies, or practices of third-party websites or services.
9. Disclaimer of Warranties
THE WEBSITE AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE EXTENT PERMITTED BY APPLICABLE LAW, WILLOW VALE DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND MAKES NO WARRANTY REGARDING THE AVAILABILITY, ACCURACY, COMPLETENESS, RELIABILITY, OR SUITABILITY OF THE WEBSITE, THE SERVICES, OR ANY AI-GENERATED OUTPUT.
10. Limitation of Liability
TO THE EXTENT PERMITTED BY APPLICABLE LAW, WILLOW VALE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR SIMILAR DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO USE OF, OR INABILITY TO USE, THE WEBSITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. WHERE NOT OTHERWISE LIMITED BY A CUSTOMER AGREEMENT, WILLOW VALE'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THE WEBSITE OR THESE TERMS SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages or warranties, so some of the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless Willow Vale and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your breach of these Terms, your Customer Content, or your misuse of the Website or Services.

Willow Vale may suspend or terminate your access to the Website or Services at any time, with or without notice, for conduct that Willow Vale believes violates these Terms or is otherwise harmful to other users, Willow Vale, or third parties.
Provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

14. Governing Law and Disputes
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Website shall be subject to the exclusive jurisdiction and venue of the state and federal courts located in Ventura County, California, except that Willow Vale may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

Willow Vale may update these Terms of Use from time to time. Changes will be posted on this page with a revised effective date. Continued use of the Website or Services after an update constitutes acceptance of the revised Terms.
